1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the website, products, services, and related content operated by LuminSci LLC, doing business as Lumineris Scientific (“Lumineris Scientific,” “Company,” “we,” “our,” or “us”).

By accessing our website, creating an account, placing an order, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Shipping Policy, and Refund & Satisfaction Policy, each of which is incorporated into these Terms by reference.

If you do not agree to these Terms, you may not access this website or purchase Research Materials from Lumineris Scientific.

2. Eligibility & Account Registration

To purchase Research Materials or maintain an account with Lumineris Scientific, you must:

Be at least twenty-one (21) years of age.
Have the legal capacity to enter into binding agreements.
Provide complete, accurate, and current account information.
Maintain the confidentiality of your login credentials.
Accept responsibility for all activity conducted through your account.

You agree to promptly update your account information whenever necessary to keep it accurate.

Lumineris Scientific reserves the right to refuse registration, suspend accounts, or terminate access where account information is inaccurate, fraudulent, misleading, or otherwise inconsistent with these Terms.

3. Definitions

For purposes of these Terms:

“Research Materials” means any compounds, peptides, blends, analytical reference materials, laboratory chemicals, laboratory supplies, or other goods offered for sale by Lumineris Scientific.

“Website” means all webpages, applications, customer portals, online services, and related digital resources owned or operated by LuminSci LLC under the Lumineris Scientific trade name.

“Customer,” “Purchaser,” or “You” means any individual or entity accessing the Website or purchasing Research Materials.

“Order” means any request submitted to purchase Research Materials through the Website or other authorized sales channels.

References to “including” or “includes” shall mean “including without limitation.”

4. Research Use Only

All Research Materials sold by Lumineris Scientific are supplied strictly for Research Use Only (“RUO”).

Unless expressly stated otherwise in writing by Lumineris Scientific, Research Materials:

are intended solely for lawful laboratory research and analytical purposes;
are not intended for human consumption or administration;
are not intended for veterinary use;
are not intended for clinical use;
are not intended for therapeutic use;
are not intended for diagnostic use;
are not intended as drugs, biologics, medical devices, foods, dietary supplements, or cosmetics.

By placing an Order, you represent and warrant that:

you understand the Research Use Only designation;
you are purchasing solely for lawful research purposes;
you possess sufficient knowledge to safely handle laboratory research materials or are acting on behalf of an organization that possesses such knowledge;
you will comply with all applicable federal, state, and local laws and regulations governing the purchase, possession, storage, transportation, handling, use, and disposal of Research Materials.

Responsibility for Research Materials transfers to the Purchaser upon delivery. The Purchaser assumes full responsibility for all lawful handling, storage, use, transportation, and disposal of Research Materials after delivery.

Nothing contained on this Website, in product descriptions, analytical reports, marketing materials, communications, or other content shall be interpreted as recommending or authorizing any prohibited use.

5. Orders, Pricing & Payment

Submission of an Order constitutes an offer to purchase Research Materials and does not constitute acceptance by Lumineris Scientific.

All Orders remain subject to review and acceptance.

Lumineris Scientific reserves the right, in its sole discretion, to refuse, limit, cancel, or modify any Order for reasons including, but not limited to:

inventory availability;
pricing or typographical errors;
suspected fraud;
payment verification issues;
suspected misuse of Research Materials;
compliance concerns;
export or regulatory considerations, if applicable;
any other legitimate business reason.

Product availability is not guaranteed until an Order has been accepted and shipped.

Prices are subject to change without prior notice. Price changes shall not affect Orders that have already been accepted for processing.

Accepted payment methods may change periodically and may include credit cards, debit cards, ACH or electronic bank transfers, cryptocurrency, or other approved payment methods.

Where payment processors impose additional eligibility requirements or fraud screening procedures, completion of payment does not guarantee acceptance of an Order.

Orders may generally be cancelled prior to shipment. Once an Order has shipped, any request for refund or replacement shall be governed by the Company’s Refund & Satisfaction Policy.

Title to purchased Research Materials transfers upon shipment, while risk of loss transfers upon delivery by the carrier to the delivery address provided by the Purchaser, unless otherwise required by applicable law.

6. Shipping

Lumineris Scientific currently ships Research Materials within the United States using one or more commercial shipping carriers selected by the Company or chosen by the Purchaser, where available.

Estimated processing and delivery times displayed on the Website are estimates only and are not guaranteed unless expressly stated otherwise in writing.

Order processing times may vary based on factors including, but not limited to:

payment verification;
inventory availability;
order volume;
weather events;
holidays;
carrier delays;
operational requirements;
circumstances beyond the Company’s reasonable control.

The Purchaser is solely responsible for providing a complete and accurate shipping address at the time an Order is placed. Lumineris Scientific shall not be responsible for delays, additional shipping costs, or failed deliveries resulting from inaccurate or incomplete shipping information provided by the Purchaser.

If a shipment is delayed, lost, damaged, or otherwise encounters a delivery issue, the Purchaser should notify Lumineris Scientific as soon as reasonably possible and, where practical, no later than thirty (30) days following the applicable delivery date so that we may investigate and assist with an appropriate resolution.

7. Refund & Satisfaction Policy

Customer satisfaction is important to Lumineris Scientific.

If you believe there is an issue with your Order, you should contact us promptly so that we may review the circumstances and determine an appropriate resolution.

Depending upon the specific circumstances, available remedies may include:

replacement of eligible Research Materials;
refund;
store credit;
another reasonable resolution determined by Lumineris Scientific.

Eligibility for any refund, replacement, or other remedy is governed by our Refund & Satisfaction Policy, which is incorporated into these Terms by reference.

Nothing contained in these Terms shall expand or diminish any rights or limitations described in the Refund & Satisfaction Policy.

8. Product Information & Analytical Data

Lumineris Scientific strives to provide accurate, current, and scientifically supported information regarding its Research Materials.

However, you acknowledge and agree that:

product images are illustrative and may not precisely represent the item received;
packaging, labeling, and presentation may change without prior notice;
manufacturing methods may evolve over time;
batch-specific analytical characteristics may vary within acceptable manufacturing tolerances;
specifications may be revised as additional analytical information becomes available.

Where available, Certificates of Analysis (“COAs”), analytical reports, chromatograms, laboratory testing, or other analytical documentation relate only to the specific production batch identified within that documentation.

Unless expressly stated otherwise, the applicable batch Certificate of Analysis constitutes the authoritative analytical description of that batch.

General product descriptions, educational materials, frequently asked questions, blog articles, technical summaries, or customer support communications are intended to provide general information and should not be interpreted as replacing or modifying the analytical documentation applicable to a specific batch.

Nothing published on the Website, in analytical documentation, or in communications with customers shall be interpreted as suggesting or authorizing any prohibited application of a Research Material.

9. Purchaser Representations

By accessing the Website or placing an Order, you represent, warrant, and acknowledge that:

you are at least twenty-one (21) years of age;
you possess the legal authority to enter into this agreement;
your purchase is lawful in your jurisdiction;
you are purchasing solely for lawful laboratory research purposes;
you understand the Research Use Only designation applicable to all Research Materials;
you will not use, or permit others to use, any Research Material for prohibited purposes;
you will comply with all applicable federal, state, and local laws and regulations;
you possess, or have access to, the technical knowledge and laboratory practices necessary to safely handle Research Materials.

You further acknowledge that Lumineris Scientific relies upon these representations when determining whether to accept an Order.

If any representation becomes inaccurate after an Order is placed, you agree to promptly notify Lumineris Scientific.

10. Prohibited Conduct

You agree that you will not:

misrepresent your identity or the intended purpose of your purchase;
purchase Research Materials for any prohibited application;
use or permit the use of Research Materials for human or veterinary administration;
violate any applicable law, regulation, ordinance, or governmental requirement;
submit fraudulent payment disputes, chargebacks, refund requests, or other false claims;
interfere with, disrupt, damage, or attempt to compromise the security or operation of the Website;
introduce malicious software, automated attacks, or unauthorized access attempts;
impersonate another individual or organization;
provide false or misleading account information;
reproduce, distribute, or commercially exploit Website content except as expressly permitted by law or with prior written authorization.

Lumineris Scientific reserves the right to investigate suspected violations of these Terms and may suspend accounts, cancel Orders, refuse future transactions, or pursue any other lawful remedy available to protect the Company, its customers, and its operations.

Nothing contained in these Terms limits Lumineris Scientific’s ability to cooperate with law enforcement agencies or regulatory authorities where required or permitted by law.

11. Intellectual Property

The Website and all content made available through it, including but not limited to:

trademarks;
trade names;
service marks;
logos;
product names;
photographs;
graphics;
icons;
text;
software;
source code;
documentation;
analytical reports;
Certificates of Analysis;
laboratory data presentations;
website design;
downloadable materials;
audiovisual content; and
other proprietary materials,

are owned by LuminSci LLC, doing business as Lumineris Scientific, or are used under license by the Company, and are protected by applicable intellectual property laws.

Your use of the Website does not transfer any ownership interest in any intellectual property.

Subject to these Terms, Lumineris Scientific grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Website solely for its intended purpose.

Except as expressly permitted by applicable law or with prior written authorization from Lumineris Scientific, you may not:

reproduce;
modify;
distribute;
publish;
publicly display;
commercially exploit;
reverse engineer; or
create derivative works from

any portion of the Website or its content.

Unauthorized use of the Company’s intellectual property may result in termination of access and any other remedies available under applicable law.

12. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Website, its content, and all Research Materials are provided on an “AS IS” and “AS AVAILABLE” basis.

Except as expressly stated in writing by Lumineris Scientific, the Company disclaims all warranties of every kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of:

merchantability;
fitness for a particular purpose;
title;
non-infringement;
uninterrupted availability;
accuracy;
completeness;
reliability.

Lumineris Scientific does not warrant that:

the Website will always be available or operate without interruption;
errors will be corrected immediately;
the Website will be free of viruses or other harmful components;
Research Materials will be suitable for any purpose other than lawful laboratory research.

No statement made by an employee, contractor, representative, distributor, or customer shall create any warranty unless expressly authorized in writing by Lumineris Scientific.

Nothing contained on the Website or in communications with customers shall be interpreted as providing medical, legal, regulatory, or professional advice.

13. Limitation of Liability

To the fullest extent permitted by applicable law, LuminSci LLC, doing business as Lumineris Scientific, together with its owners, officers, managers, employees, contractors, affiliates, successors, and agents, shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising from or relating to:

use of or inability to use the Website;
purchase, possession, transportation, storage, handling, or use of Research Materials;
shipping delays or carrier-related issues;
interruption of business operations;
loss of revenue;
loss of profits;
loss of business opportunities;
loss of goodwill;
loss of data;
reliance upon Website content or customer communications.

To the maximum extent permitted by law, the aggregate liability of LuminSci LLC arising out of any claim relating to an Order, the Website, or these Terms shall not exceed the amount actually paid by the Purchaser for the specific Order giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability. Where such limitations are prohibited, this Section shall apply only to the fullest extent permitted by applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless LuminSci LLC, doing business as Lumineris Scientific, together with its owners, members, managers, officers, employees, contractors, affiliates, successors, and agents, from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

your violation of these Terms;
your misuse of Research Materials;
your violation of any applicable law or regulation;
your negligent, reckless, or intentional acts or omissions;
any claim arising from your possession, handling, storage, transportation, or use of Research Materials after delivery.

The obligations contained in this Section shall survive termination of these Terms and completion of any Order.

15. Suspension & Termination

Lumineris Scientific reserves the right, in its sole discretion and without prior notice where permitted by law, to:

suspend or terminate Website access;
suspend or close customer accounts;
refuse future Orders;
cancel pending Orders that have not yet shipped;
restrict access to certain Website features or services.

Such action may be taken where Lumineris Scientific reasonably believes that:

these Terms have been violated;
false or misleading information has been provided;
fraudulent or unlawful activity has occurred or is suspected;
Research Materials may be used for prohibited purposes;
continued business presents legal, regulatory, operational, or security concerns.

Termination or suspension shall not affect any rights, obligations, or liabilities that accrued prior to the effective date of termination.

Lumineris Scientific’s failure to immediately enforce any provision of these Terms shall not constitute a waiver of its right to do so at a later time.

16. Governing Law

These Terms and any dispute arising out of or relating to these Terms, the Website, or any Order shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Subject to applicable law, any legal action or proceeding arising from or relating to these Terms shall be brought exclusively in a state or federal court of competent jurisdiction located in the State of Texas, and each party consents to the personal jurisdiction and venue of such courts.

Nothing contained in these Terms shall limit any rights or remedies available to Lumineris Scientific under applicable law.

17. Changes to These Terms

Lumineris Scientific reserves the right to modify, amend, or update these Terms at any time.

Any revisions will become effective upon publication on the Website unless a later effective date is expressly stated.

The “Effective Date” displayed at the beginning of these Terms identifies the version currently in effect.

Your continued use of the Website or placement of Orders following the publication of revised Terms constitutes your acceptance of those revisions.

If you do not agree to any revised Terms, you must discontinue use of the Website and refrain from placing additional Orders.

18. Severability, Waiver & Entire Agreement

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.

No waiver by Lumineris Scientific of any provision of these Terms shall be deemed a continuing waiver or a waiver of any other provision. Any failure by Lumineris Scientific to exercise or enforce any right or remedy under these Terms shall not constitute a waiver of that right or remedy.

These Terms, together with the Company’s Privacy Policy, Shipping Policy, and Refund & Satisfaction Policy, constitute the entire agreement between you and Lumineris Scientific regarding your access to and use of the Website and your purchase of Research Materials. They supersede all prior or contemporaneous communications, representations, understandings, and agreements relating to the same subject matter, whether oral or written.

Nothing contained in these Terms shall be interpreted as creating any partnership, joint venture, employment relationship, agency relationship, or fiduciary duty between you and Lumineris Scientific.
